1. Acceptance of Terms

By accessing or using Chippie ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

These terms apply to all users of the Service, including business owners, team members, and any other individuals who access or use the platform.

2. Description of Service

Chippie is a cloud-based quote and invoice management platform that enables businesses to:

  • Create and manage client information
  • Generate and send professional quotes
  • Convert accepted quotes to jobs and invoices
  • Track job progress and payment status
  • Manage team members and business operations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

The Service relies on third-party integrations including Xero (accounting sync), Stripe (payment processing), Brevo (email delivery), and Oracle Cloud Infrastructure (hosting). Your use of these integrations is subject to the terms of the relevant third parties. We are not responsible for the availability, accuracy, or actions of third-party services, except as required by non-excludable consumer guarantees.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains current and accurate

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You shall not:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Impersonate any person or entity
  • Collect or harvest user data without authorization
  • Use the Service to send spam or unsolicited communications

5. Your Data and Content

You retain ownership of all data and content you upload to the Service ("Your Content"), including information you enter about your clients. By using the Service, you grant us a non-exclusive licence to store, process, transmit, display, back up, and otherwise use Your Content as reasonably necessary to operate, maintain, secure, support, and improve the Service, including sending quotes, invoices, and related documents to your end clients on your behalf.

You are responsible for ensuring you have the right to provide your clients' information to us, and for complying with any privacy or consumer-law obligations you owe to those clients. You are solely responsible for the accuracy and legality of Your Content and for maintaining your own backup copies.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Chippie and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7. Payment Terms

If you subscribe to paid features of the Service:

  • Fees are billed in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your designated payment method
  • We may change pricing with reasonable notice

Failure to pay may result in suspension or termination of your account.

Subscription fees are quoted in the currency shown at signup and, where charged in Australian dollars, are inclusive of GST unless stated otherwise. Tax invoices are issued for each billing period. We will give at least 30 days' notice by email before any price increase takes effect.

8. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, technical issues, or events beyond our reasonable control. To the extent permitted by law, and subject to any non-excludable consumer guarantees under the Australian Consumer Law, we are not liable for downtime or service interruptions. Features marked as beta, preview, or early access are provided as-is, may change or be removed without notice, and are excluded from any service availability commitments to the extent permitted by law.

9. Limitation of Liability

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law or any other applicable law that cannot be excluded by agreement.

Subject to the paragraph above, and to the maximum extent permitted by law, Chippie and its affiliates shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or data loss
  • Any damages exceeding the fees paid in the preceding 12 months

To the extent permitted by law, and subject to any non-excludable consumer guarantees under the Australian Consumer Law, the Service is provided "as is" without warranties of any kind, express or implied.

10. Indemnification

You agree to indemnify and hold harmless Chippie, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these terms
  • Your violation of any third-party rights

11. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your account immediately, without prior notice, if you breach these terms.

Upon termination, your access to the Service will cease and you will have 30 days from the termination date to export Your Content. After 30 days, we may permanently delete Your Content from active systems. Backups may take longer to expire in line with our retention schedule. Provisions that by their nature should survive will remain in effect.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will give at least 30 days' notice by email for material changes.

Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.

13. Governing Law

These terms are governed by the laws of New South Wales, Australia. You and Chippie submit to the exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from them.

14. General

These Terms, together with our Privacy Policy, form the entire agreement between you and Chippie regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of our business. We will send notices to the email address associated with your account; you should send notices to [email protected].

The Service is provided by Chippie Australia Pty Ltd (ABN 11 698 780 406).
